Sales Agreement1. General Terms (Applies to All Products & Services):

● Agreement: By engaging with Kris Trinity Consulting Ltd (“KTC”), the Client agrees to these terms.

● Exclusive Agent: The Client appoints KTC as its exclusive agent for the services outlined herein.

● Third-Party Communications: KTC may liaise with third parties on the Client’s behalf with prior consent and must not exceed agreed cost estimates without approval.

● Cooling-Off Period: Clients may cancel within a 14-day cooling-off period from the Service Start Date with written notice.

● Auto-Renewal Terms: Clinic Scale auto-renews for successive 3-month terms unless the Client provides at least 30 days’ written notice before renewal.

● Indemnity Clause: The Client indemnifies KTC against claims or liabilities arising from services rendered.

● Insolvency Clause: If the Client’s business becomes insolvent, all outstanding fees become immediately payable, and services will cease without refund.

● Arbitration: Disputes are referred to arbitration under the Chartered Institute of Arbitrators’ rules.

● Governing Law: This Agreement is governed by the laws of England.

2. Payments & Refunds:

● No Refund Policy: All sales are final. Clients acknowledge immediate access to proprietary materials (e.g., 'Medspa Growth Secrets') and upfront services.

● Payment Dispute Clause: Clients must contact KTC to resolve issues before raising disputes with any payment processor. Breaching this clause may lead to termination without refund.

3. Intellectual Property Rights:

● Content Ownership: All materials, including ad copy, scripts, and 'Medspa Growth Secrets' content, are KTC’s intellectual property.

● Usage Restrictions: Clients are prohibited from sharing, reproducing, or using proprietary content outside their engagement with KTC.

● Marketing Usage: KTC reserves the right to use results, outcomes, and client campaign successes for marketing, case studies, and promotional purposes. Clients may request anonymity by written notice.

4. Behavior & Conduct:

● Conduct Policy: KTC reserves the right to terminate services or group access without refund for disruptive, abusive, or harmful conduct.

5. Product-Specific Terms:Clinic Launch:

● Scope: Includes coaching, ad campaign management, content creation, and portal access.

● Duration: Two months from the Service Start Date.

● Earnings Disclaimer: Success depends on the Client’s effort and implementation; KTC makes no performance guarantees.Clinic

Scale:

● Scope: Ongoing ad management, coaching, and portal access.

● Minimum Term: Three months with automatic renewal for successive 3-month terms unless canceled with 30 days’ notice.

● Early Termination: Outstanding fees for the contracted term become immediately payable.

6. Termination & Disputes:

● Early Termination Policy: The Client must pay all outstanding fees immediately upon termination.

● Dispute Resolution: Disputes will be resolved through arbitration under the Chartered Institute of Arbitrators.

7. Third Party Advertising Platforms

● KTC is not responsible for any unexpected issues which may arise from time to time with any third party advertising platforms, such as Facebook (Meta Inc.) TikTok (Dance byte Inc) Google (Google Inc), etc.

● The Client agrees that if an Advertising account or Business page is disabled or KTC is unable to fulfil any part of this agreement due to a third-party entity, KTC is not liable for any costs and shall not issue any refunds.

● In the unlikely event that the Clients Advertising account or Business page is disabled by a third party entity, KTC agrees to make every effort to reinstate your ad account, but will not be liable for any additional costs.

8. Governance

This Agreement shall be governed by and construed in all respects in accordance with the laws of England.

Additional Terms: Clinic Launch Training

Every effort has been made to accurately represent this product and its potential. There is no guarantee that you will earn any money using the techniques and ideas provided in the live training, video lessons and materials provided. Examples and demonstrations are not to be interpreted as a promise or guarantee of earnings.

Earning potential is entirely dependent on the person using our product, ideas and techniques. We (KTC) do not purport this as a “Get rich quick scheme”.

Any claims of actual earnings by KTC, or examples of actual results can be verified upon request. Your level of success in attaining the results claimed in our materials depends on the time and effort you devote to the program, ideas and techniques mentioned, your finances, knowledge and various skills, since these factors differ according to individuals. We cannot guarantee your success or income level, nor are we responsible for any of your actions.

Throughout the duration of this agreement, access to our continued services, weekly coaching calls and private membership area (Medspa Growth Secrets) is dependent upon acceptable behavior and conduct towards our team members and other Clients of KTC. We reserve the right at any time to change what access is included in this package and to terminate the agreement with immediate effect if we deem that your behavior or actions are unacceptable, illegal or abusive.

Furthermore, we reserve the right to remove anyone from our private Groups and/or Communities if we deem their behavior promotional, inconsistent, negative, or counterproductive to the overall progress of the Client group.

Refund policy: Due to limited spaces and high demand, there are no refunds whatsoever for this programme. If you are unwell or unable to attend the date of training, we will reschedule your training for a later date, or the following group session.

If at any time, you would like to pause our services or stop our services, we will review the circumstances on a case by case basis, the outcome will be at the discretion of KTC.

You are not entitled to a refund if you are unable to continue to trade or your business becomes insolvent at any time. We will stop our services with immediate effect.

By purchasing a payment plan, you expressly agree that we are authorised to charge your selected payment plan on the Payment Method you designate.

Any and all forward-looking statements here or on any of our sales materials are intended to express our opinion of earnings potential.

Many factors will be important in determining your actual results and no guarantees are made that you will achieve results similar to ours or anybody else's. In fact no guarantees are made that you will achieve any results from our ideas and techniques in our materials.
